PPDM SERVICES AND WEBSITE TERMS AND CONDITIONS

The Professional Petroleum Data Management Association is a not for profit society incorporated pursuant to the laws of the Province of Alberta, Canada (“PPDM”). PPDM provides leadership for the professionalization of petroleum data management through the development and dissemination of best practices and standards, education programs, certification programs and professional development opportunities to individuals, corporations, partnerships, associations, government agencies and regulatory bodies, and professional associations. The PPDM Services and PPDM Websites are intended to update and expand existing skills and knowledge of the user (“You”).

IMPORTANT. PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE PPDM SERVICES OR PPDM WEBSITES. THIS IS A LEGAL AGREEMENT BETWEEN YOU AND PPDM WHICH GOVERNS YOUR USE OF THE PPDM SERVICES OR PPDM WEBSITES. YOU FURTHER ACKNOWLEDGE THAT YOUR USE OF THE PPDM SERVICES OR PPDM WEBSITES SIGNIFIES YOU AGREE TO THE TERMS AND CONDITIONS. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS DO NOT USE THE PPDM SERVICES AND THE PPDM WEBSITES.

PPDM Policies and PPDM Governance. In addition to the Terms and Conditions, You agree to be comply with and be bound by the PPDM Policies and PPDM Governance in effect and as may be amended from time to time, including but not limited to the PPDM Bylaws and the PPDM Privacy Policy

Restrictions on Use. This licence is solely for the benefit of You. You acknowledge the PPDM Services are designed and intended for You to use individually and You shall not allow or share access with any other party. You agree to use the PPDM Services and PPDM Websites only for purposes as permitted by this Agreement and any applicable law.

Access. PPDM will provide You access to the PPDM Services and the PPDM Website by PPDM. An automatically generated registration number (“User ID”) will be assigned to You. You will use your username and password created upon registration. PPDM reserves the right to suspend or terminate your access and/or your user account to PPDM Services or PPDM Websites, if PPDM reasonably believes that You have used or permitted the use of or access to the PPDM Services or the PPDM Website: (a) in a manner that threatens the integrity of the PPDM Services or the PPDM Website, PPDM or its employees, agents or representatives, or (b) infringes or threatens to infringe PPDM’s intellectual property or third party intellectual property rights, or (c) if your conduct contravenes any applicable laws or policies.

Your Obligations. Your User ID, username and password are required to access and use the PPDM Services and PPDM Websites. To ensure your security, never divulge your User ID, username or password or account information to anyone. You are solely responsible to maintain the confidentiality and security of your User ID, username password and account information. You represent and warrant that the User ID, username and passwords are solely used by You and by no other party.

Integrity of Data. You shall be responsible for the accuracy, integrity and truthfulness of all data and information provided by You to PPDM and on your user profile.

Lost Username or Password. If You have forgotten your username or password You can access the password recovery on the PPDM Website at the “Sign In” page and select the button “Forgot my password or my username”. A reminder will be sent to the email address that You provided upon registration. If You have forgotten the email address, You can access PPDM Website Support from the “Contact Us” page.

Fees. You are responsible for timely and complete payment of all fees and applicable taxes. PPDM reserves the right to restrict or deny You access to the PPDM Services or PPDM Websites if PPDM is unable to successfully obtain a payment for that PPDM Service. You agree to pay all fees including applicable taxes, GST, Value Added Tax and similar taxes. Subject to the foregoing, PPDM may accept other methods of payment and once payment is processed, PPDM will grant You access to the PPDM Services or PPDM Websites.

Payment Methods. The PPDM Website Shopping Cart accepts Visa, MasterCard, American Express and Company Check (Cheque)**. Please contact the PPDM Accounts for further information.
Credit cards payments will be processed immediately via Moneris; following each credit card transaction You will receive an email receipt.

**Company Check (Cheque) payment with a purchase order number can be initiated through the PPDM Website Shopping Cart. Once the payment has been received and processed by the PPDM Association, the purchase will be confirmed through a Purchase Receipt confirmation email.

Note that your transaction is not complete until the check has been received and processed by the PPDM Association. Check payments must be completed prior to receiving the PPDM service for which you registered.

Term and Termination. At its sole discretion PPDM may immediately terminate access to the PPDM Service or PPDM Website if You are in breach of any of your obligations, including the non-payment of applicable fees, PPDM Policies and PPDM Governance. You will be granted access to the PPDM Service or the PPDM Websites for the period outlined by the PPDM Service and for which payment has been received and processed or as otherwise may be determined by PPDM (the “Term”).

Indemnity. You agree to indemnify PPDM, its directors, officers, employees, agents, representatives and licensors, and to be liable to and hold them harmless from any claims or demands, including reasonable legal fees and disbursements, related to or arising from (a) your breach of the Terms and Conditions; (b) breach of the PPDM Privacy Policy or other PPDM policies in effect and as amended from time to time; and (c) your providing false or inaccurate information to PPDM.

Limitation of Liability. YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE PPDM SERVICES AND PPDM WEBSITES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. PPDM DOES NOT GUARANTEE, REPRESENT OR WARRANT THAT YOUR USE OF THE PPDM SERVICES AND PPDM WEBSITES WILL BE UNINTERRUPTED OR ERROR-FREE. PPDM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, AND LICENSORS DO NOT MAKE OR GIVE ANY REPRESENTATION, WARRANTY OR CONDITION OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES AS TO COMPLETENESS, ACCURACY, SECURITY, MERCHANTABILITY, QUALITY, TITLE, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE OF THE PPDM SERVICES, THE PPDM WEBSITES AND ALL PPDM MATERIALS AND CONTENT RELATED THERETO. PPDM SHALL NOT BE LIABLE FOR DEFECTS IN TRANSMISSION, CONNECTIVITY, INTERNET, INTERNET SERVICE PROVIDER, VIRUS, INTERRUPTIONS, DISRUPTIONS OR DELAYS.

IN NO EVENT SHALL PPDM BE LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, ACTUAL, PUNITIVE DAMAGES, ARISING OUT OF THE TERMS AND CONDITIONS OR ACTS OR OMISSIONS IN FULFILLING ITS OBLIGATIONS HEREUNDER.

Linked Websites. The PPDM Services and the PPDM Websites may contain certain content or materials, including links to other websites. PPDM does not control those websites and under no circumstances is PPDM responsible for the availability of those websites and PPDM does not endorse those websites or the accuracy of the content or materials. PPDM is not responsible for the content or materials contained on the other websites or the use You make of them.

Changes. The contents of the PPDM Services and the PPDM Websites, including but not limited to the terms and conditions herein, any agreements and policies, may be amended or substituted without notice to You and it is your responsibility to check for any amendments or substitutions.

Applicable Law. The Terms and Conditions and each of the documents contemplated by or delivered under or in connection with this Agreement are governed exclusively by, and are to be enforced, construed and interpreted exclusively in accordance with, the laws of Alberta and the laws of Canada applicable in Alberta which will be deemed to be the proper law of the Agreement. The parties irrevocably and unconditionally attorn to the exclusive jurisdiction of the courts of the Province of Alberta, Canada and all courts competent to hear appeals therefrom.

Governing Language. The PPDM Services and the content on the PPDM Websites are only in the English language. The Terms and Conditions shall use the English language. Any translation of the Terms and Conditions is done for local requirements and in the event of a dispute between the English and any non-English versions, the English version of the Terms and Conditions shall govern.

Cancellations. All PPDM Services are subject to cancellation.
In the event of a cancellation PPDM will repay the full fee or You may transfer to another PPDM Service. The repayment will be processed to the credit card originally used for the transaction. All other repayments will be issued by cheque to the original payee.

Refunds. All refunds or changes to registration or enrollment must be completed by PPDM. Refunds may be offset against any monies owing to the PPDM Association. Specific details of the PPDM refunds process are outlined below.

PPDM Events. PPDM Events includes; PPDM Data Management Symposiums, PPDM Data Management Tradeshows, PPDM Data Management Field Trips, PPDM Data Management Workshops and PPDM Luncheons. PPDM will issue a refund less the refund administration fee (typically 25% of the fee paid). Refund requests must be received in writing (via email to PPDM Accounts) 2 weeks (14 days) prior to the PPDM Event. PPDM regrets that refunds will not be available after this date. Substitutions may be permitted on a case by case basis.

PPDM Association Member, thank you for visiting our Past Events video and file archive. By visiting this section, you accept the following terms of use for the posted recordings and files, which exist outside of the PPDM Association Intellectual Property section of the Membership Agreement, by their nature of being provided by PPDM Association community members.

By viewing or downloading any videos or files, you consent to this contract with us electronically. As a PPDM Association member, you are an entity that is a natural person subscribed as a PPDM Association member, either on the individual or corporate representative level. As a PPDM Association member, you have the ability to view and access the Past Events archive of videos and files for personal use. Files and videos should not be shared outside the PPDM membership without explicit permission from the PPDM Association and the producer of the content. The use of any content or materials for external reproduction, such as embedding in presentations or sharing to groups, must have the explicit permission from the PPDM Association and the owner of the original material, and must contain proper copyright attributions.

We may update this agreement by posting a revised version on our website. By continuing to use our Services, you accept any revised Agreement. Content available may change as permissions change or expire. The PPDM Association can arrange an electronic introduction as necessary to the owner of any content.

PPDM Event Sponsorship & Exhibitor Spots

This agreement must be returned within 14 business days to reserve the sponsorship/exhibitor spot; extensions will be granted for special circumstances at the sole discretion of the PPDM Association. Sponsorship/exhibitor slots for agreement not signed and returned to the PPDM Association within the 14 business days may result in the slot being re-opened to other organizations. Payment for sponsorships/exhibitor slots must be received by the PPDM Association no less than 15 business days of the event date.

Event Cancellation
  • In the event of a sponsor/exhibitor cancellation occurring 0 to 10 business days prior to the event date, liquidated damages in the amount of one hundred percent (100%) of the sponsorship/exhibitor will be due, plus applicable taxes.
  • In the event of a sponsor/exhibitor cancellation occurring 11 to 20 business days prior to the event date, liquidated damages in the amount of seventy five percent (75%) will be due, plus applicable taxes.
  • In the event of a sponsor/exhibitor cancellation occurring more than 21 business days prior to the event date, full refunds will be issued less a $150 USD Administrative Fee.
  • If requested, and at the sole discretion of the PPDM Association, funds may be transferred to future PPDM Association events or activities.

 

Force Majeure
Each Party shall be excused for its failure to promptly perform any part of this Agreement, if such failure is due to force majeure including, but not limited to, wars, fires, floods, or other natural disasters, strikes, pandemic declared by the World Health Organization, shortages of materials, embargoes, governmental or legal restrictions or other events beyond its reasonable control. The inability of a Party to provide funds or make payments agreed to be made is not a force majeure event. The Parties, to the extent it does not create an unreasonable economic cost to any of the Parties, shall attempt to mitigate the effects of any force majeure event.

  • If events are rescheduled, funds will be moved to the rescheduled event at no cost to the sponsor/exhibitor.
  • Refunds will be subject to the terms of this cancellation policy.
  • The ability to terminate this Agreement without liability pursuant to this paragraph is conditioned upon delivery of written notice to the other party setting forth the basis for such termination as soon as reasonably practical - but in no event longer than ten (10) days - after learning of such basis.

 

Governing Law: This agreement will be governed by the laws of the Province of Alberta in Canada.

PPDM Training.
PPDM Training includes; PPDM Public Training and PPDM Online Training. PPDM will issue a refund less the refund administration fee (typically 25% of the registration fee). Refund requests must be received in writing (via email to PPDM Accounts 2 weeks (14 days) prior to the Training. PPDM regrets that refunds will not be available after this date. Substitutions may be permitted on a case by case basis. Please contact the PPDM Training for further information.

Certification. If you withdraw your application less than 3 weeks before your scheduled examination, this will result in forfeiture of CPDA Exam fees (invigilation), however you can carry the administrative fees forward to a future exam date within one year. You will be required to pay CPDA Exam fees for the subsequently scheduled exam sitting.

To obtain a refund of CPDA Exam fees (invigilation), you must make a request to PPDM by letter or email at least 3 weeks before the exam date.
Should you not meet the eligibility requirements and wish to submit further evidence to be eligible for future exams, you have one year to do so. After one year, you must pay the full Administration fee again.
If you decide to withdraw your application and do not intend to write the exam the same year, you must notify PPDM within 7 days of submitting your application to receive a 75% refund of Administration fees. The Administration fee is refunded 75% if the request to withdraw application is made within 7 days of submitting the application. After that the Administration fee is not refundable.

PPDM will not provide you with a refund of CPDA Exam fees if you have scheduled the exam and did not take it, and did not provide the necessary cancellation/rescheduling notification to PPDM.
